Welcome to AI Ecolab! These Terms of Service ("Terms") govern your access to and use of the services, products, software, and marketing expertise provided by AI Ecolab.
By accessing or using any part of our Services (as defined below), you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. Definitions
"Company," "We," "Us," or "Our": Refers to AI Ecolab, a business located in Houston, Texas.
"Client" or "You": Refers to the company or individual utilizing the Services provided by AI Ecolab.
"Service" or "Services": Collectively refers to the AI Receptionist Service and the Marketing Services.
"AI Receptionist Service": The specific Artificial Intelligence solution provided to the Client to automate customer interactions, including booking, rescheduling, answering FAQs, and generating responses.
"Marketing Services": Includes Social Marketing Strategy, Marketing Campaigns, Lead Generation, Website Creation, and Media/Content Creation for platforms like Facebook, Instagram, and TikTok.
2. Services Provided
A. AI Receptionist Service (SaaS)
We grant the Client a non-exclusive, non-transferable right to access and use the AI Receptionist Service during the subscription term. The Service is intended to handle routine tasks as configured and trained.
Client Data & AI Use:
The Client retains all ownership rights to the customer data, booking information, and conversation transcripts provided to or collected by the AI Receptionist Service.
Disclaimer on Accuracy: Due to the nature of machine learning and natural language processing, the AI Receptionist Service may occasionally provide inaccurate, incomplete, or inappropriate responses. The Client acknowledges and accepts this risk and agrees to implement appropriate human oversight and disclaimers when using the AI tool.
Data for Improvement: Unless explicitly opted out in a separate agreement, the Company may use anonymized, aggregated, and depersonalized data from the AI interactions solely to improve and refine the underlying AI models and Service performance.
B. Marketing Services & Deliverables
Scope of Work (SOW): Marketing Services (including website creation, campaigns, and content) will be governed by a separate Statement of Work (SOW) or written proposal detailing specific deliverables, timelines, and costs.
Client Content: The Client is responsible for providing all necessary text, images, logos, and materials for Marketing Services and warrants that they own or have the right to use all such content.
3. Payment Terms, Billing, and Refunds
Fees: The Client agrees to pay all fees for the Services as specified in the SOW or subscription agreement. Fees are billed monthly, quarterly, or annually, as agreed upon.
Invoicing: Invoices are typically issued on the first day of the billing cycle and are due within thirty (30) days from the invoice date.
Late Payments: The Company reserves the right to suspend Service access or charge a late fee (e.g., 1.5% per month or the highest legal rate) for overdue payments.
No Refunds: All fees are non-refundable once paid, except as expressly stated otherwise in a separate written agreement.
4. Client Obligations and Conduct
The Client agrees to:
Use the Services only for lawful business purposes and in accordance with these Terms and any specific SOW.
Not use the AI Receptionist Service to process or store any sensitive personal information (such as health, financial, or legally protected data) unless appropriate contractual and security measures are agreed upon in writing.
Ensure that any content provided for Marketing Services does not violate any third-party intellectual property or privacy rights.
5. Intellectual Property (IP) Rights
Company IP: The Client acknowledges that the AI Receptionist Service, including the underlying software, algorithms, methodologies, and the AI models, are the exclusive property of AI Ecolab and its licensors.
Client IP: The Client retains all ownership rights to its trademarks, logos, proprietary customer data, and any source code for pre-existing websites or software.
Marketing Deliverables IP: Upon full payment for Marketing Services, ownership of custom-created visual assets (e.g., social media graphics, website HTML/CSS) will transfer to the Client. AI Ecolab retains the right to use such deliverables for promotional and portfolio purposes.
6. Confidentiality
Both parties agree to treat as confidential all non-public information received from the other party (including, but not limited to, pricing, technical specifications, and client customer data) and will use such confidential information only to perform the obligations under these Terms.
7. Warranties and Disclaimers
AI Service "As Is": The Client expressly acknowledges and agrees that the AI Receptionist Service is provided "as is" and "as available." AI Ecolab makes no warranty that the Service will be error-free, uninterrupted, or perfectly accurate.
Marketing Results: The Company makes no guarantees or warranties regarding specific results, lead volume, or revenue generated from the Marketing Services, as these factors are subject to market conditions, search engine algorithms, and other variables outside our control.
General Disclaimer: AI Ecolab EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
In no event shall AI Ecolab, its affiliates, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any content obtained from the Service; (iii) the performance or non-performance of the AI Receptionist Service.
In all cases, the maximum aggregate liability of AI Ecolab to the Client for any claim arising out of or related to these Terms shall not exceed the total fees paid by the Client to AI Ecolab for the Services during the twelve (12) month period immediately preceding the event giving rise to the claim.
9. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Jurisdiction: Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Houston, Texas.
10. Termination
Termination for Convenience: Either party may terminate the SaaS Subscription Service with thirty (30) days written notice. The Client remains responsible for all fees accrued up to the effective date of termination.
Termination for Cause: The Company may terminate Services immediately if the Client breaches any material term of this Agreement (e.g., non-payment or unlawful use).
Post-Termination: Upon termination, the Client’s access to the AI Receptionist Service will cease, and AI Ecolab will delete or return Client Data as stipulated in the Privacy Policy.
